The Statute: MoRAA Plus the LLC Act

Two citations do the work here. The Mississippi Registered Agents Act, Miss. Code Ann. § 79-35-1 et seq., took effect January 1, 2013 and is the state's version of the Model Registered Agents Act. On the LLC side, § 79-29-113 requires a registered office and a registered agent whose business office is "identical with the registered office."

Practical translation: the address on file has to be a real Mississippi street address where the agent actually operates. A PO box by itself does not satisfy the statute.

Straight from the statute's eligibility list:

  • An individual who resides in Mississippi
  • A domestic corporation, nonprofit, or LLC
  • A foreign corporation, nonprofit, or LLC authorized to transact business in Mississippi

Whichever it is, the agent's business office and the registered office must be one and the same address.

Commercial vs. Noncommercial Agents
